Terms & Conditions

1. About these terms

These terms govern your use of Irrigant's website, Helios, Ask Helios, Text Helios, and related services. The service operator is Irrigant.

By accepting these terms, you agree to follow them when using the services. If you act for a farm or business, you confirm that you have authority to accept these terms for that organization. If you do not agree, do not create an account or use the services.

2. Eligibility and account security

You must be at least 18 and able to enter a binding agreement. Provide accurate account information and keep your contact details current. You must have authority to provide the farm records and connected accounts that you use with Irrigant.

Keep your password private. Contact us if you suspect unauthorized access. Tell us promptly if you lose control of a paired phone number or give the number to another person. Possession of a phone number does not authorize account export, account deletion, or access to another farmer's records.

3. What the services provide

Irrigant offers agricultural software, farm records, analysis tools, and AI-assisted conversations. Available features can include weather information, sensor records, reports, field analysis, saved notes, reminders, and farm check-ins. Features vary by product, deployment, account, and connected services.

Text Helios can update supported records and manage reminders when you request these actions. Review important changes in your workspace and correct inaccurate records. Text Helios does not operate irrigation equipment.

4. Agricultural information and AI limitations

AI responses and experimental analyses can contain errors, omissions, or outdated information. They can misunderstand your question, field conditions, measurements, or intended action. Weather, satellite, sensor, and other external data can be incomplete, delayed, or inaccurate.

Irrigant does not guarantee crop yield, water savings, disease diagnosis, equipment performance, or a particular farming result. The service does not replace field inspection or advice from a qualified agronomist or other relevant professional.

You remain responsible for farming decisions, equipment operation, chemical applications, and compliance with applicable requirements. Confirm consequential decisions against field conditions, reliable measurements, professional advice, and applicable product labels. Do not use the service as an emergency system or the only source for a safety-critical decision.

5. Your records and permission to process them

You retain your rights in the farm records, messages, and other material you provide. You grant Irrigant permission to process that material as needed to provide and support the services you request. This includes storing records, generating responses, performing supported actions, and using necessary service providers under the Privacy Policy.

This permission does not authorize the sale of your personal information or another party's marketing use of your SMS consent. It does not automatically enroll your farm records in optional Irrigant research or model training.

You must not submit records that you lack permission to use. Do not include another person's private information unless you have authority and a valid reason to provide it.

6. Privacy, AI consent, and research

Our Privacy Policy explains collection, processing, disclosure, retention, and available data controls.

AI features can send messages and relevant farm context to an external provider, currently the DeepSeek API. The provider disclosure explains the destination and known processing terms before you enable the covered feature. DeepSeek processing can occur in China. The disclosure also explains provider retention and possible service-improvement uses.

SMS consent, AI provider consent, and optional research consent are separate choices. Accepting these terms does not, by itself, grant those separate consents. You can withdraw Text Helios AI consent in the workspace or by sending AI OFF from your paired phone. Withdrawal cannot recall information already transferred or reverse actions already completed.

Optional research requires separate permission and the applicable research notice or agreement.

7. SMS Terms

Program and operator

The SMS program is Text Helios, operated by Irrigant. It provides AI-assisted farm conversations, requested reminders, and occasional farm check-ins.

Enrollment and consent

Create a Text Helios account, enter your mobile number, and send the pairing command from that phone. After reviewing the messaging disclosure, send START to consent to recurring SMS messages. Creating an account or pairing a phone does not automatically enable messaging.

Send AI to review the provider disclosure. Send AI ON to grant the separate AI consent. Consent to receive SMS messages is not a condition of purchase. You must own the number or have the subscriber's authority to enroll it.

Frequency and charges

Message frequency varies with your conversations, reminders, and enabled check-ins. Message and data rates may apply. Your mobile carrier determines those charges. Contact your carrier for details about your plan.

Stop and resume

Reply STOP to unsubscribe from Text Helios SMS messages. You may receive a confirmation of your opt-out. STOP cancels pending reminders. Messages already submitted to a carrier may still arrive.

Send START to opt in again. Cancelled reminders do not restart automatically. Stopping SMS does not delete your account or saved farm records.

Delivery and carrier responsibility

SMS requires an available mobile network and a supported number. Delivery can fail or be delayed because of network conditions, filtering, service outages, or device settings. Carriers are not liable for delayed or undelivered messages. Do not rely on an SMS reminder as your only control for irrigation, chemical application, or another consequential activity.

Privacy

We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. Twilio and mobile carriers process messaging data to deliver the service. See the Privacy Policy for details.

8. Acceptable use

We may restrict access when needed to investigate misuse, protect the service, or meet legal requirements.

9. Fees and separate agreements

Any Irrigant service fee must be disclosed in the applicable offer or agreement before you accept it. That offer or agreement governs payment, renewal, and cancellation for the paid service. These terms do not create an undisclosed subscription or authorize an undisclosed charge. Mobile carrier charges remain separate from Irrigant service fees.

If a separate signed agreement conflicts with these terms, that agreement controls the services it specifically covers. Mandatory legal rights continue to apply.

10. External services

Messaging, AI, weather, hosting, and sensor features depend on external providers. Those providers can change their services, restrict access, or experience outages. Their own terms may apply to accounts or services that you use directly.

Disconnecting an integration can stop future retrieval without deleting records already imported into Irrigant. Contact us if you also want those records removed.

11. Availability and ending service

We do not promise uninterrupted service or delivery at a specific time. Features can be limited by maintenance, provider availability, usage limits, or incomplete data. Experimental features can change or be withdrawn.

You can stop using the service at any time. Contact henry@irrigant.xyz to request account closure or broader data deletion. Available messaging deletion controls do not delete all farm records across Irrigant products. Retention and deletion follow the Privacy Policy and applicable legal requirements.

We may suspend or end access for a material breach, a security risk, a legal requirement, or discontinuation of the service. Where practical, we provide notice and an opportunity to address the issue. Ending access does not remove privacy rights that remain available under applicable law.

12. Intellectual property

Irrigant and its licensors retain their rights in the software, service design, documentation, and branding. You may use the services and supplied reports for your authorized farm or business activities, subject to these terms. These terms do not transfer ownership of your farm records to Irrigant. AI responses may resemble responses given to other users. We do not promise that generated content is unique.

13. Warranties and responsibility

To the extent permitted by applicable law, we provide the services as available without a guarantee of accuracy or fitness for a particular purpose. You are responsible for verifying information before acting on it. Keep independent copies of records that you cannot afford to lose.

Nothing in these terms excludes liability or limits a right that applicable law does not permit us to exclude or limit.

14. Changes and questions

We publish changes to these terms and update the effective date. We provide notice of material changes when required by law or an applicable agreement. Where renewed agreement is required, we request it before applying the change. Changes to these terms do not replace separate SMS, AI, or research consent.

Contact us about a concern so we can try to resolve it. These terms do not require arbitration or waive rights that you have under applicable law.
